Neo Terms of Purchase

Neo is a ready-made personal brand platform built on Craft CMS. A website with marketing, SEO, AI search visibility and design worked out from day one, made for thought leaders, creators and public figures.

Golem Agency is the trading name of Private Entrepreneur Volodymyr Golembivs’kyi. This page is a public offer under Articles 633 and 641 of the Civil Code of Ukraine: it sets out the terms for buying Neo and subscribing to its support through golem.agency.

By paying for Neo or a subscription, you accept these terms in full. From that moment, a contract between us is concluded.

Prices and payment

If we change the subscription price, the new price applies to active subscriptions from the next period after we have notified you by email at least 30 days in advance.

How the purchase works

1. Pay for Neo on the payment provider’s page.
2. Fill in the deployment form on our website.
3. Grant us access to your ukraine.com.ua and Cloudflare accounts by following the video instructions in the form.
4. We deploy the website within 5 business days of receiving the completed form and all access.
5. When the website is ready, we let you know by email. The first month of your subscription starts that day.

Licence

1. You receive a perpetual, non-exclusive licence to use Neo for one live website on one domain. Language versions of that website do not extend the licence.
2. You may not transfer the licence to anyone else, sell or rent out Neo, or use its code for other websites or templates.
3. You may not publish Neo’s code or any part of it publicly.
4. The footer of every page carries active links to the marketing company DigitTime and to Golem Agency. You may not remove, hide or change them for as long as you use the website.
5. Neo is developed by Golem Agency together with nikolenko.club. The intellectual property rights in Neo belong to its developers; the licence under these terms is granted by Golem Agency. The texts, images and other materials you add to the website belong to you.
6. You are responsible for complying with the Craft CMS licence.
7. If you breach the licence, we may terminate it together with the subscription. No refund is given in that case.

Support subscription

1. We activate the subscription within 1 business day of payment. The first month included with Neo starts on the day deployment is completed.
2. The subscription renews automatically for the same period until you cancel it.
3. You can cancel at any time: email [email protected] or cancel the recurring payment on the payment provider’s page. Access continues until the end of the paid period.
4. Golem Agency decides what goes on the Neo roadmap, taking into account subscriber votes, technical feasibility and resources.
5. The subscription does not include custom feature development, content work or support for websites whose code has been modified by third parties, as such changes may conflict with updates.
6. To install updates, we need access to your hosting for the duration of the subscription.
7. Without an active subscription, the website keeps working on the last installed version, but access to updates, the community and PM ends. If you resubscribe after a break, bringing the website up to the current version may be charged separately, depending on the work involved. We will tell you the cost before starting.

Refunds

To request a refund, email us with your order number. We refund to the same card within 7 business days of approval. When the funds arrive depends on your bank.

Access and confidentiality

1. We use access to your hosting and Cloudflare only to deploy the website and to provide subscription support.
2. If you do not renew the subscription, we recommend revoking our access. We will remind you by email.
3. How we process personal data is described in our Privacy Notice.

Liability

1. We guarantee that, at the time of deployment, Neo works as described on its page. We do not guarantee uninterrupted, error-free operation or that Neo is fit for purposes not described on its page.
2. We are not liable for outages of hosting, Cloudflare, Craft CMS or other third-party services, for the consequences of changes that you or third parties make to the website’s code, or for claims by Pixel & Tonic relating to your use of Craft CMS.
3. Back up your website regularly using your hosting’s tools. We are not liable for data loss that is not our fault.
4. Our total liability is limited to the amount you paid us in the last 12 months. We are not liable for indirect losses or loss of profit. This limitation does not apply to intentional harm.
5. Neither party is liable where performance is impossible due to force majeure: hostilities, shelling, prolonged power or internet outages, or decisions of public authorities. Deadlines are extended for the duration of such circumstances.

When we may end the subscription

We may end the subscription if:

1. A recurring payment has not been received within 30 days.
2. Your hosting or domain is unpaid and the website is unavailable.
3. You have seriously breached these terms, for example by attempting to hack our systems or spamming the community.
4. You have breached the licence.
5. The website is used for unlawful purposes.

Your Neo licence remains in force after the subscription ends, unless you have breached it.

Disputes

1. These terms are governed by the law of Ukraine.
2. Please write to us first: send your complaint by email and we will reply within 15 calendar days.
3. If no agreement is reached, the dispute will be heard by a court in accordance with Ukrainian law.
4. If you are a consumer, these terms do not limit the rights granted to you by the law of your country of residence.

Changes to these terms

We may update these terms by publishing a new version on this page. Purchases and subscription periods already paid for are governed by the version in effect at the time of payment. We will notify active subscribers of material changes by email at least 30 days in advance. If you do not agree, cancel the subscription before the next payment.
