3. Payment Terms

3.2 Payment Structure:
Prepayment: A portion of the total cost must be paid before the project begins.
Installment Plans: Available upon agreement.
3.3 Late Payments:
Delayed payments may lead to project suspension or termination.
4. Refund Policy

5. Revisions and Post-Completion Support

Fees and timelines are determined individually.
6. Liability and Force Majeure
6.1 Agency is not liable for:
Delays caused by the Client’s failure to provide materials or approvals.
Losses resulting from third-party service issues (e.g., hosting providers).
Circumstances beyond control, such as natural disasters, strikes, or political events (force majeure).
6.2 Responsibility:
The Client is responsible for ensuring the accuracy and timeliness of provided materials.
7. Intellectual Property
Ownership of Materials:
Upon full payment, all rights to deliverables transfer to the Client.
The Client may use delivered work without limitations.
8. Portfolio and Marketing Use
The Agency may feature completed projects in its portfolio, social media, and promotional materials.
Clients wishing to opt out must notify the Agency in writing before project completion.
9. Subcontracting
The Agency may engage third-party subcontractors for specific tasks.
All subcontractor arrangements will be communicated to and approved by the Client beforehand.
10. Privacy and Data Protection
All data provided by the Client will be handled in accordance with the Privacy Notice.
11. Dispute Resolution
11.1 Mediation:
The Agency and Client agree to attempt mediation before pursuing legal action.
11.2 Legal Proceedings:
If mediation fails, disputes will be resolved in Ukrainian courts under applicable Ukrainian law.
12. Changes to Terms
The Agency reserves the right to modify these Terms and Conditions. Updates will be posted on the Agency’s website, and Clients will be notified of significant changes via email.
